In New Jersey, an LLC on the inactive list may reinstate under N.J.S.A. 42:2C-54, with the reinstatement relating back to the date the company was made inactive. The $75 reinstatement filing plus $75 annual report — typically $150 for one missed year. A tax clearance certificate is required if filed two or more years after inactive placement.
